一、条款适用

本服务条款由FBNads全球广告投放（以下简称“FBMads”“我方”）与服务使用方（以下简称“您”“客户”）共同订立，您访问FBMads官网、咨询合作、使用我方境外广告代投、TOKENPIE聚合API、出海投放优化等全部服务，即视为已阅读、理解并同意本全部条款。

二、服务内容

FBMads提供境外全平台广告代投、出海广告策划、账户运维、风控管理、数据复盘、API技术支撑等服务，具体以双方确认的合作方案为准，我方按行业标准提供全链路投放服务。

三、客户义务

客户保证广告素材、推广项目、产品信息合法合规，不涉及违法、侵权、虚假、色情暴力等违规内容，不侵害任何第三方权益。
需及时提供真实、完整投放资料，配合上线与优化；因资料错误、延迟造成损失由客户自行承担。
按约定按时足额支付服务费用，不得无故拖欠、拒付。
不得利用本服务从事违法违规、恶意干扰投放系统等行为。

四、我方权利与义务

按合作约定提供广告投放与技术服务，正常运维并定期同步数据报表。
有权审核客户推广内容，对违规素材要求整改；拒不整改可暂停或终止服务，不承担违约责任。
采用加密、权限隔离等措施保护客户数据与商业信息，严格遵守隐私政策。
因平台政策、网络故障、不可抗力等第三方原因造成服务异常，我方协助处理但不承担损失赔偿。

五、费用与支付

服务费、结算周期、支付方式以双方约定为准。客户逾期欠费，我方有权暂停投放与技术支持，期间损失由客户承担。

六、知识产权与保密

我方网站文案、服务方案、投放模型、TOKENPIE API等知识产权归FBMads所有，未经许可禁止复制、商用、篡改。双方对合作商业信息、客户数据负有永久保密义务，不得私自向第三方泄露。

七、服务变更与终止

我方因业务、政策调整可变更服务规则与收费标准，官网公示即生效。
客户违规、欠费，我方可单方面暂停或终止服务，已付费用不予退还。
合作到期或双方协商一致可终止服务，完成结算与数据交接。

八、免责声明

因不可抗力、平台封禁、政策突变、网络攻击、运营商故障等非我方可控因素，造成投放中断、数据异常、收益损失，我方不承担赔偿责任，将尽力协助降低影响。

九、争议解决

本条款适用日本当地法律，双方争议优先友好协商；协商不成，提交我方营业所在地管辖机构处理。

十、条款更新

我方可随时更新本服务条款，更新后官网公示立即生效，继续使用服务即视为接受新条款。

1. Agreement

These Terms of Service are binding between Dexieshi Global Advertising (Japan) and all users accessing our website, advertising agency, TOKENPIE API and other services. Using our services means you fully accept all terms herein.

2. Service Scope

We provide global ads agency, campaign planning, account operation, risk control, data analysis and API technical support. Detailed services shall follow the confirmed cooperation plan.

3. Client Responsibilities

All promotional materials and projects must comply with local laws and platform rules, without illegal, infringing or inappropriate content.
Provide accurate and complete information in time; any loss caused by wrong or delayed data shall be borne by the client.
Pay service fees on time as agreed.
Do not use our services for illegal or malicious activities.

4. Our Rights & Obligations

Provide qualified advertising and technical services, and deliver regular data reports.
We have the right to review content and reject illegal materials; we may suspend service without liability.
Protect client data and business information with encryption and access control.
We are not liable for service interruption caused by platform policy, network failure or force majeure.

5. Payment & Fees

Fees and settlement terms are confirmed by both parties. We may suspend services if payment is overdue.

6. IP & Confidentiality

All website content, service solutions, ads models and TOKENPIE API intellectual property belong to us. Both parties shall keep business and data information confidential permanently.

7. Service Modification & Termination

We may update service rules and fees with official announcement.
We may suspend or terminate service if the client violates terms or defaults payment.
Cooperation may be terminated upon expiration or mutual agreement.

8. Disclaimer

We are not responsible for losses caused by force majeure, platform ban, policy change, network attack or third-party failures.

9. Dispute Resolution

These terms are governed by the laws of Japan. Disputes shall be settled by negotiation first, or submitted to the local competent authority.

10. Update

We reserve the right to update these terms at any time. Updated version takes effect once published on official website.
